(Liquid Learning Group Pty Ltd ACN 78 108 415 354 trading as iQon)
1.1 These Terms of Service govern your access to and use of the iQon online learning platform, including all websites, mobile or desktop applications, video streaming, audio, written content, PDFs, links, community features and related services (together, iQon or the Service).
1.2 iQon is operated by Liquid Learning Group Pty Ltd (“Liquid Learning”, “we”, “us”, “our”). Our registered office is Level 11, 201 Kent Street, Sydney NSW 2000, Australia.
1.3 By creating an account, activating access (including as part of a group registration or organisational purchase), or using iQon, you agree to be bound by these Terms, together with our Privacy Policy and any other terms referenced in these Terms, including Platinum Pass Terms & Conditions where relevant.
1.4 Fees means the charges payable for access to iQon, including subscription fees, group registration fees, and any other applicable charges set out in an order form, invoice or proposal.
2. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be published on the iQon website. Continued use of iQon following publication constitutes acceptance of the updated Terms.
3. Eligibility and Accounts
You must be at least 18 years old to hold an iQon account.
You are responsible for ensuring your account information is accurate and kept up to date, maintaining password confidentiality, and notifying us immediately of any unauthorised access.
4. Your Licence to Use iQon
4.1 Subject to these Terms and payment of all applicable fees, Liquid Learning grants you a personal, non-exclusive, non-transferable, limited licence to access and use iQon for your own professional development.
4.2 Unless expressly approved in writing, you must not:
share your login or let others use your account,
download, copy, distribute, reproduce, or publicly display iQon content,
use iQon for commercial training, resale, or competitive purposes,
bypass, modify or interfere with security or access controls,
use bots, scrapers or automated tools to extract data.
When using community features, you must:
treat all participants with respect;
not bully, harass, or intimidate;
not post defamatory, discriminatory, hateful or inappropriate content;
not self-promote or advertise third-party services;
comply with all community guidelines.
We may remove content or suspend accounts that breach these standards.
You retain ownership of User Content but grant Liquid Learning a worldwide, royalty-free licence to use and reproduce it for the purposes of operating and improving iQon. You warrant that you have all necessary rights to upload such content.
7.1 Access to iQon may be provided:
through individual subscriptions,
through organisational or group registrations,
as part of a bundled product (e.g. Platinum Pass).
7.2 Invoice Payments & Group Registrations
Where an organisation confirms a group registration - whether via signed order form, written confirmation, purchase order, online acceptance or invoice request - this constitutes a binding financial commitment to pay the full fees. Payment by invoice is a billing convenience and does not alter the obligation to pay.
Unless otherwise agreed in writing:
invoices are payable within the stated payment terms,
group access may be suspended or revoked for non-payment,
seat allocations cannot be resold or assigned outside the purchasing organisation.
7.3 Refunds
Except as required by the Australian Consumer Law, all Fees are non-refundable, including where:
users do not activate or use their access,
employment or internal approval circumstances change,
the organisation chooses not to use iQon.
7.4 Subscription Renewals
Where ongoing subscription terms apply, you are responsible for cancelling before the renewal date to avoid further charges.
7.5 Fee Changes
We may update, modify or adjust the Fees for accessing iQon from time to time. Any change to Fees will apply from the start of the next billing or renewal period unless stated otherwise. We will provide reasonable notice of any Fee changes to the registered account holder or organisational contact. Continued use of iQon after the updated Fees take effect constitutes acceptance of the updated Fees.
The purchasing organisation is responsible for:
providing accurate user details to Liquid Learning,
managing which users receive access,
ensuring users comply with these Terms.
All iQon content is owned by or licensed to Liquid Learning. No rights are transferred to you other than the limited licence required to access iQon.
iQon may integrate with systems operated by third parties. Liquid Learning is not responsible for outages, changes, or failures caused by those external systems.
Users may notify Liquid Learning of any copyright concerns. We may remove or restrict content where necessary.
iQon is provided “as is” and “as available”. We make no guarantee that iQon will be uninterrupted, error-free or available at all times. Information provided in iQon is general in nature and not professional advice.
To the maximum extent permitted by law, Liquid Learning is not liable for indirect, incidental, special or consequential loss, including loss of profits, data or business opportunities. Where liability cannot be excluded, it is limited to the amount paid for the relevant access period.
You agree to indemnify Liquid Learning for losses arising from your breach of these Terms, misuse of iQon, or infringement of third-party rights.
By using iQon, you consent to receiving service notifications, account updates and essential communications. You may opt out of some marketing messages.
We may suspend or terminate accounts for breach of these Terms, suspected unlawful use, or non-payment under a group registration.
These Terms are governed by the laws of New South Wales, Australia, and you submit to the exclusive jurisdiction of its courts.
If any part of these Terms is invalid or unenforceable, the remainder continues in effect. You may not assign your rights without our consent. Liquid Learning may assign its rights as part of a restructure or sale.
19. Organisational Accounts / Group Agreements
This applies only where an organisation purchases multiple user licences as a part of a Group Agreement.
19.1. Access Allocation
19.1.1 Liquid Learning will provide the number of iQon access licences specified in the order form, proposal or invoice (Licences).
19.1.2 Licences are allocated to named users nominated by the organisation. Licence assignments may be changed during the access period, but access cannot be shared or transferred among multiple users at the same time. One change per Licence is permitted in each 6 month period. Further changes may incur additional fees.
19.2. Payment Terms
19.2.1 Confirmation of a group subscription or organisational purchase constitutes a binding financial commitment to pay the total Fees in full.
19.2.2 Invoices must be paid within the terms stated. Access may be suspended or withheld for overdue invoices.
19.3. Licence Usage
19.3.1 Licences may only be used by employees or approved users of the purchasing organisation. Licences may not be resold or assigned to any unrelated third party.
19.3.2 Misuse, password sharing, or seat-sharing may result in suspension or termination of access.
19.3.3 Reducing the number of active users or Licences during a term does not reduce or alter the Fees payable.
19.4. Term, Renewal & Fee Adjustments
19.4.1 Term of Access
Access to iQon will be provided for the subscription period specified in the order form, agreement, proposal or invoice (Initial Term).
19.4.2 Auto-Renewal
Unless otherwise agreed in writing, all organisational or group iQon subscriptions automatically renew for successive 12-month terms (Renewal Term). The subscription will renew unless either party provides written notice of non-renewal at least 90 days before the end of the current term, regardless of any internal procurement or finance policies of the organisation.
19.4.3 Annual Fee Adjustment
Unless otherwise agreed in writing, subscription Fees for each Renewal Term will automatically increase by 7% on the Fees applicable during the immediately preceding term. Continued use of iQon after the renewal date constitutes acceptance of the updated Fees.
19.4.4 Notice Requirements
Notice of non-renewal must be provided in writing to Liquid Learning’s nominated billing or account contact. Notice is deemed received when acknowledged by Liquid Learning or two business days after being sent, whichever occurs first.
19.4.5 Renewal Billing
Renewal invoices will be issued prior to the start of the Renewal Term and must be paid in accordance with the stated payment terms to avoid suspension of access.
19.5. Termination
19.5.1 Liquid Learning may suspend or terminate access if:
a) Fees are not paid;
b) users breach the iQon Terms of Service; or
c) fraudulent or unlawful activity is detected.
19.5.2 No refunds or credits apply for unused access unless required by law.
19.6. Liability & Indemnity
19.6.1 The organisation indemnifies Liquid Learning against losses arising from user misuse or breach.
